By accessing, registering for, purchasing, or using the services provided by TradeHive(“TradeHive,” “we,” “our,” or “us”), you agree to be legally bound by these Terms of Service(“Terms”), our Privacy Policy, and any policies referenced herein.

If you do not agree to these Terms, you may not access or use the Services.

We reserve the right to modify these Terms at any time. Updated Terms become effective immediately upon posting. Continued use of the Services after changes constitutes acceptance of the revised Terms.

You must be at least eighteen (18) years old and legally capable of entering into binding agreements to use the Services.

By using the Services, you represent and warrant that:

• All registration information provided is accurate and complete;
• You will maintain the security of your account credentials;
• You are solely responsible for all activity occurring under your account.

TradeHive provides cloud-based trading journal, analytics, educational, AI-assisted insights, reporting, mentorship, and related software services.

TradeHive is:

• NOT a broker-dealer;
• NOT a registered investment adviser;
• NOT a financial planner;
• NOT a fiduciary.

All information, analytics, AI-generated content, trade metrics, and educational materials are provided solely for informational and educational purposes.

You remain solely responsible for:

• Your trading decisions;
• Risk management;
• Tax reporting;
• Regulatory compliance;
• Financial outcomes.

No content on the platform constitutes financial, investment, legal, or tax advice.

By using the Services, you certify that:

• You are using the platform solely for personal, non-professional use;
• You are not acting on behalf of a financial institution, hedge fund, broker, investment adviser, or proprietary trading firm unless explicitly authorized by us;
• You do not redistribute market data or analytics obtained through the Services.

You agree to immediately notify us if your status changes.

Certain Services require a paid subscription.

By purchasing a subscription, you expressly authorize TradeHive and its payment processors, including Stripe, to:

• Charge your selected payment method;
• Automatically renew your subscription at the recurring interval selected during checkout;
• Continue charging until canceled.

Due to the immediate delivery of digital services, software access, analytics, and proprietary platform functionality, all payments are final and non-refundable unless otherwise required by applicable law.

No refunds or credits will be provided for:

• Partial billing periods;
• Failure to cancel before renewal;
• Inactivity or unused accounts;
• Dissatisfaction with trading performance;
• Lack of platform usage.

If a free trial is offered, billing will begin automatically at the end of the trial period unless canceled before the trial expires.

Upon successful payment, users receive immediate access to TradeHive’s digital software platform, features, analytics, and services.

You acknowledge that:

• Access to digital services constitutes delivery of purchased services;
• Usage logs, login history, feature access, trade imports, analytics generation, and account activity may be used as evidence of service delivery;
• Filing fraudulent or abusive chargebacks after receiving access or using the Services constitutes a violation of these Terms.

We reserve the right to:

• Contest disputes using account records, login history, IP logs, timestamps, billing acknowledgments, and usage activity;
• Suspend or permanently terminate accounts associated with payment disputes or chargebacks;
• Recover unpaid balances, fees, and associated costs to the fullest extent permitted by law.

You are responsible for maintaining the confidentiality of your login credentials.

You agree not to:

• Share accounts;
• Resell access;
• Allow unauthorized users to access your subscription;
• Circumvent subscription restrictions or account limitations.

We may suspend accounts suspected of unauthorized sharing or abuse without refund.

TradeHive grants you a limited, non-exclusive, non-transferable, revocable license to use the Services solely for personal or internal business purposes.

You may not:

• Copy, scrape, reverse engineer, or reproduce the platform;
• Use bots or automated systems to access the Services;
• Redistribute market data or platform outputs;
• Create derivative competing services;
• Exploit vulnerabilities or interfere with platform operations.

You agree not to:

• Violate any applicable laws or securities regulations;
• Manipulate markets or engage in deceptive trading practices;
• Upload malicious code;
• Harass, threaten, or abuse other users;
• Use the platform for unlawful, fraudulent, or unauthorized purposes.

TradeHive may integrate with third-party brokers, APIs, payment processors, market data vendors, AI providers, or external platforms.

We are not responsible for:

• Broker outages;
• API failures;
• Data inaccuracies;
• Delays;
• Third-party service interruptions;
• Trading losses resulting from third-party systems.

Your use of third-party integrations may also be subject to separate third-party terms.

Market data, analytics, and AI-generated insights may contain inaccuracies, delays, omissions, or errors.

TradeHive does not guarantee:

• Profitability;
• Accuracy of AI outputs;
• Accuracy of imported trade data;
• Continuous uptime;
• Performance outcomes.

Past performance does not guarantee future results.

Trading involves substantial risk, including possible loss of principal.

All platform content, software, algorithms, branding, designs, analytics, graphics, databases, and materials are the exclusive property of TradeHive and its licensors.

No rights are granted except as expressly stated in these Terms.

Unauthorized use may result in legal action.

We process personal information in accordance with our Privacy Policy and applicable data protection laws.

By using the Services, you consent to:

• Electronic communications;
• Processing of account and usage data;
• Storage of technical and transactional records;
• Use of account activity for fraud prevention and dispute resolution.

The Services are provided on an “AS IS” and “AS AVAILABLE” basis.

We do not guarantee:

• Continuous availability;
• Error-free operation;
• Uninterrupted access;
• Compatibility with all devices or brokers.

Maintenance, upgrades, outages, and interruptions may occur without notice.

To the maximum extent permitted by law, TradeHive and its affiliates shall not be liable for:

• Indirect damages;
• Consequential damages;
• Lost profits;
• Trading losses;
• Loss of data;
• Business interruption.

Our total cumulative liability shall not exceed the greater of:

• One hundred U.S. dollars (US $100), or
• The amount paid by you to TradeHive during the twelve (12) months preceding the claim.

You agree to defend, indemnify, and hold harmless TradeHive, its officers, affiliates, employees, and licensors from any claims, liabilities, damages, losses, or expenses arising from:

• Your use of the Services;
• Your violation of these Terms;
• Your trading activities;
• Your violation of applicable laws or third-party rights.

We may suspend, restrict, or terminate access to the Services at any time, with or without notice, for:

• Violations of these Terms;
• Fraudulent activity;
• Abuse of the platform;
• Payment disputes or chargebacks;
• Security risks.

Termination does not relieve you of outstanding payment obligations.

Any dispute arising out of or relating to these Terms or the Services shall be resolved exclusively through binding arbitration on an individual basis.

You waive:

• The right to a jury trial;
• The right to participate in class actions or class arbitration.

Arbitration shall be governed by the laws of the State of New York, United States, unless otherwise required by applicable law.

These Terms shall be governed by and construed under the laws of the State of New York, without regard to conflict of law principles.

By creating an account, checking the acceptance box, or completing payment, you acknowledge that:

• You have read and understood these Terms;
• You consent to electronic agreements, notices, and records;
• Your electronic acceptance constitutes a legally binding agreement.
